• This obligation survives termination of our business relationship
• Exceptions include information that is publicly available or legally required to be disclosed

IN NO EVENT SHALL APEXAPPWORKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES.

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

10. Termination

Either party may terminate a project or service agreement under the following conditions:

• With 30 days written notice for convenience
• Immediately for material breach that remains uncured after 15 days notice
• Immediately for non-payment of fees
• Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, the client will pay for all work completed up to the termination date, and ApexAppWorks will deliver all completed work products.

11. Indemnification

Client agrees to indemnify and hold ApexAppWorks harmless from any claims, damages, or expenses arising from:

• Client's use of the delivered services or products
• Client's violation of these terms
• Client's violation of any third-party rights
• Content provided by the client

12. Governing Law and Dispute Resolution

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Any disputes arising from these terms or our services shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations fail
• Binding arbitration as a final resort

13. Force Majeure

Neither party shall be liable for any delay or failure to perform due to events beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes by:

• Posting updated terms on our website
• Sending email notifications to active clients
• Providing notice during ongoing projects

Continued use of our services after modifications constitutes acceptance of the updated terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

16. Entire Agreement

These terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior or contemporaneous communications and proposals, whether oral or written.
